Terms of Trade

Services included with our websites, unless otherwise agreed:

  • * Consultation re: site structure and content, user friendliness and search engine optimization.
  • * Customized layout in a visual style which adequately represents the client’s business.
  • * Load time optimization and SEO (search engine optimization).
  • * Registration with Google directory/Open Directory Project
  • * A feature on my web design mailer and monthly newsletter, to drive some initial traffic.

Web Hosting and Domain Registration

Web hosting and domain registration are not included in the standard contract. Many clients already have a domain name and web host. If you don't, or if your new site requires features which your current web hosting service does not support, we offer attractive web hosting and domain registration packages according to the requirements of your site, including an annual maintenance check. Please enquire about web hosting options and prices.

Timeframes

Depending on size of project. Smaller html based sites can usually be completed within 2-3 weeks, depending on client communication and timely delivery of all site content. Larger sites involving database-driven content management, image galleries, media players, etc. will take longer. We will give you an estimate of the expected timeframe once the content and features of the site have been agreed upon.

Payment Schedule

Standard payment schedule: 10% advance on signing of contract. 40% upon approval of site map and design/ayout drafts. 50% upon completion of site and before the site is uploaded to the clients' web server. The site will be available for extensive testing on the asni.net test server prior to completion of the project.

For more complex projects, an individual payment schedule will be negotiated.

Deferred payment schemes are available. Please ask about terms and conditions!

Asni: Multimedia obligations

Asni: Multimedia undertakes to create a fully functional website including the features set out in the contract, in a fashion appropriate to the client’s business, within the specified timeframe, and deliver all site files to the client.

Asni: Multimedia furthermore agrees to be available to fix possible technical problems resulting from the page design (e.g. broken links, any problems arising from the database, PHP scripts, Flash media players etc.) for a period of six months after the site goes live. This does not include updating content, images, database structure, or added functionality, once the site has been approved by the client.

Client obligations

The text and images should be supplied as digital files in a format that can be utilized without modification. Specifications are available on request. Text and image editing beyond minor modifications at the discretion of the web designer will incur a separate fee.

The client will make access details to their web server (login and password) available. Features agreed in the web design contract must be supported by the client's web server (e.g. ability to run PHP scripts, MySQL database).

The client is responsible for making the content and design elements available within the specified timeframe. Asni: Multimedia Art& Design is not liable for any loss arising from, and cannot be held responsible for delays caused by the client’s failure to supply materials or information in a timely fashion and appropriate format. Furthermore, Asni: Multimedia is not obliged to fulfil a design contract, if files have not been delivered by a final deadline set out in the contract.

The client is responsible for copyright clearance of all content provided - this includes texts, images, design features, media files, and any other intellectual property supplied by third parties.

Copyright ownership

The copyright for all page designs and design elements created by Asni: Multimedia remains with Asni: Multimedia. The client agrees to include this copyright information and a link to the Asni: Multimedia site in their page footers.

A non-transferable license to use the site design, data structure and scripts in order to promote the client’s business, for as long as the business is operating, is included in the contract. This means that the client is entitled to have work done on the website by another web designer, and may use design elements such as logos, fonts and colours in other promotional material, to create a consistent branding for the business. It does not include the right to sell, or grant permission to usethe site design and features, to third parties.

The copyright for all content and design elements supplied by the client remains with the previous copyright owner.

Each party is separately responsible for their content, designs, images, and other intellectual property, to be in compliance with the copyrights act. Neither party can be held liable for copyright infringement in materials supplied by the other party. In particular, Asni: Multimedia cannot be held liable for copyright infringement in content and design elements supplied by a client.

Seat of Law

Asni: Multimedia's business activities and and disputes arising therefrom are governed by the laws of New Zealand.
